Merchant Agreement (MOU)

This Merchant Operating Agreement governs the relationship between StreetShops and shop owners listed on the platform. By submitting an application and ticking the acceptance checkbox, you agree to be bound by these terms. Last updated: July 2026 — Effective upon shop approval.

1. Eligibility and Application

Any individual or registered business operating in or around the Blue Downs Way area may apply to list on StreetShops. Applicants must be 18 years or older, hold the legal right to sell the listed products or services, and provide accurate contact and business information. StreetShops reserves the right to decline any application at its sole discretion.

2. Products, Services, and Pricing

Shop owners are solely responsible for the accuracy of listed products, services, and prices. Listings must reflect real items available for purchase and must comply with South African consumer protection legislation. Prohibited items include — but are not limited to — counterfeit goods, controlled substances, unlicensed firearms, stolen property, and any item illegal under South African law. StreetShops may remove non-compliant listings at any time without notice.

3. StreetShops Service Fee (5% Commission)

StreetShops charges a 5% service fee on all customer orders placed through the platform. This fee is added on top of the shop owner's stated price — meaning the customer pays 105% of the listed price. The shop owner receives 100% of their listed price for each sale, net of any applicable payout processing charges. The commission structure may be reviewed periodically; shop owners will be notified 14 days before any change takes effect.

4. Payouts and Banking

Payout banking details are collected only after shop approval through a verified onboarding step. Payouts are processed weekly into the registered bank account after a 48-hour order-completion holding period. StreetShops does not store full bank account numbers on its public platform. Shop owners must notify StreetShops immediately of any banking detail changes to avoid payout delays. Do not submit bank account details through any public application form.

5. Verification and Onboarding

All approved applicants undergo identity and business verification before the shop is listed publicly. This may include a copy of a South African ID or passport, proof of address, and business registration confirmation where applicable. StreetShops will contact the applicant via WhatsApp or email within 5 business days of submission. Shops remain in 'pending' status during review and only go live once all verification requirements are met.

6. Availability and Accuracy

Shop owners agree to keep product listings, prices, and availability up to date at all times. Customers who place orders based on inaccurate information may be entitled to a refund, and repeated inaccuracies may result in shop suspension. The merchant portal provides tools to pause listings, mark items as unavailable, or temporarily close the shop during holidays or shutdowns.

7. Orders, Delivery, and Fulfilment

Shop owners are responsible for preparing orders ready for pickup or handover to StreetShops-assigned delivery drivers. Turnaround times must be communicated clearly in the product listing. Failure to fulfil confirmed orders without notice may result in account suspension. For disputes raised by customers regarding order quality or non-delivery, shop owners will be notified and asked to respond within 24 hours through the merchant portal.

8. Data and Privacy

StreetShops collects and processes personal information in accordance with the Protection of Personal Information Act (POPIA). Shop owner data — including name, contact details, and business information — is used solely for operating the marketplace. Customer order data is shared with the relevant shop owner only to the extent needed for fulfilment. StreetShops does not sell personal data to third parties.

9. Suspension and Termination

StreetShops may suspend or permanently remove a shop for: repeated inaccurate listings, unfulfilled orders without communication, breach of any term in this agreement, fraudulent or illegal activity, or conduct that damages the reputation of the marketplace. Shop owners may also voluntarily deactivate their listing at any time through the merchant portal or by contacting support. Upon termination, outstanding payouts will be settled within 30 days, subject to any pending dispute resolution.

10. Changes to This Agreement

StreetShops may update this Merchant Agreement from time to time. Shop owners will be notified of material changes via their registered contact details at least 14 days before changes take effect. Continued use of the merchant portal after the effective date constitutes acceptance of the revised terms.

11. Governing Law and Contact

This agreement is governed by the laws of the Republic of South Africa.
